Acceptance of Terms

By accessing and using the services provided by micronovae AG, a company registered in Austria with registration number FN369852a, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and micronovae AG. If you do not agree to these terms, you must discontinue use of our services immediately. Your continued use of our services following any modifications to these terms constitutes acceptance of such changes.

Service Description

micronovae provides enterprise workflow productivity dashboard solutions, including custom dashboard development, workflow automation, system integration, and advanced analytics services. Our services are designed for business and corporate clients seeking to enhance their operational efficiency and data-driven decision making. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to existing clients.

User Obligations

You agree to use our services only for lawful purposes and in accordance with these terms. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You must not attempt to gain unauthorised access to our systems, interfere with the proper operation of our services, or engage in any activity that could damage, disable, or impair our services. You agree to provide accurate and complete information when requested and to promptly update such information as necessary.

Payment and Billing

Service fees are as agreed in individual service contracts or proposals. Payment terms are typically net 30 days unless otherwise specified in your service agreement. Late payments may incur additional charges as permitted by law. micronovae reserves the right to suspend services for accounts with overdue payments. All prices are exclusive of applicable taxes, which shall be added to invoices as required by law.

Intellectual Property

All intellectual property rights in our services, software, documentation, and related materials remain the exclusive property of micronovae AG or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use our services in accordance with these terms. You may not copy, modify, distribute, or create derivative works based on our proprietary materials without express written permission. Any custom solutions developed specifically for your organisation shall be subject to separate intellectual property provisions as outlined in your service agreement.

Data Protection and Privacy

Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms part of these terms. You acknowledge that you have read and understood our privacy practices. For enterprise clients, separate data processing agreements may apply to govern the handling of client data processed through our dashboard solutions.

Confidentiality

Both parties acknowledge that they may have access to confidential information belonging to the other party. We agree to maintain the confidentiality of your business information and data. You agree to maintain the confidentiality of our proprietary methods, techniques, and business information. This obligation survives termination of our service relationship.

Limitation of Liability

To the maximum extent permitted by law, micronovae AG's total liability for any claims arising from or related to our services shall not exceed the amount paid by you for services in the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. This limitation applies regardless of the legal theory upon which the claim is based and even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless micronovae AG from any claims, damages, losses, or expenses arising from your use of our services in violation of these terms, your violation of applicable laws, or your infringement of third-party rights. This indemnification obligation includes reasonable legal fees and costs incurred in defending against such claims.

Service Availability

While we strive to maintain high service availability, we do not guarantee uninterrupted access to our services. Scheduled maintenance, emergency repairs, and circumstances beyond our control may result in temporary service interruptions. We will make reasonable efforts to provide advance notice of planned maintenance activities.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Austria, without regard to conflict of law principles. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Austria. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Termination

Either party may terminate the service relationship with thirty days' written notice. micronovae may terminate services immediately if you breach these terms or fail to make required payments. Upon termination, your right to access our services ceases immediately, though certain provisions of these terms shall survive termination, including payment obligations, intellectual property rights, and limitation of liability clauses. We will provide reasonable assistance in data export upon termination, subject to our data retention policies.

Modifications to Terms

micronovae reserves the right to modify these Terms of Service at any time. We will provide notice of material changes through our website or direct communication to existing clients. Your continued use of our services following such notice constitutes acceptance of the modified terms. If you do not agree to the modifications, you may terminate your use of our services.

Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.
